Terms of Service

1. Agreement to Terms

By accessing or using Tonic Desk ("Service"), operated by Tonic Desk Ltd ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

Tonic Desk is a customer relationship management (CRM) platform provided as a software-as-a-service (SaaS) product. The Service includes contact management, deal pipeline management, email integration, workflow automation, task management, reporting, and related features.

3. Accounts and Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Upload or transmit any malicious code, viruses, or harmful data
  • Attempt to gain unauthorised access to other accounts or systems
  • Use the Service to send unsolicited communications (spam)
  • Resell or redistribute the Service without our written consent
  • Interfere with or disrupt the Service infrastructure

5. Subscription and Payment

5.1 Plans and Pricing

We offer Free, Starter, Professional, and Business plans as described on our pricing page. Prices are in US Dollars and are subject to change with 30 days' notice.

5.2 Billing

Paid plans are billed monthly or annually in advance. All payments are processed through Stripe. You authorise us to charge your payment method for all fees incurred.

5.3 Cancellation

You may cancel your subscription at any time. Upon cancellation, you retain access to your plan until the end of the current billing period. No refunds are provided for partial billing periods.

5.4 Free Plan

The Free plan is available to up to 3 users per organisation. We reserve the right to modify Free plan limitations with 30 days' notice.

6. Data and Privacy

6.1 Your Data

You retain ownership of all data you upload to the Service ("Customer Data"). We do not sell, share, or use Customer Data for advertising purposes.

6.2 Data Processing

We process Customer Data solely to provide the Service. Our data processing practices are described in our Privacy Policy.

6.3 Data Export

You may export your Customer Data at any time using the CSV export features. Upon account termination, we retain Customer Data for 30 days before permanent deletion.

6.4 Data Security

We implement industry-standard security measures including encryption in transit (TLS 1.2+), encrypted credential storage, and role-based access controls. See our Privacy Policy for details.

7. Intellectual Property

The Service, including its design, code, documentation, and branding, is owned by Tonic Desk Ltd and protected by intellectual property laws. Your use of the Service does not grant you any rights to our intellectual property.

8. API Usage

Access to the Tonic Desk API is governed by these Terms. API usage is subject to rate limits as documented. We reserve the right to throttle or suspend API access that impacts Service performance.

9. Warranties and Disclaimers

The Service is provided "as is" and "as available". We make no warranties, express or implied, regarding the Service's availability, accuracy, or fitness for a particular purpose. We do not guarantee uninterrupted or error-free operation.

10. Limitation of Liability

To the maximum extent permitted by law, Tonic Desk Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the fees you paid in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Tonic Desk Ltd from any claims, damages, or expenses arising from your use of the Service, your Customer Data, or your violation of these Terms.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use of the Service after changes take effect constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of Scotland, United Kingdom. Any disputes shall be resolved in the courts of Scotland.
